Terms &Conditions.

How we scope, quote, produce and deliver — and what each side is responsible for. A signed proposal or statement of work always takes precedence over anything on this page.

1. Who these terms apply to

These terms govern your use of this website and any creative production services provided by Zasya Media, a division of Zasya Solutions, registered at 1st Floor Hall No. 102, STPI Building, SDA Complex, Kasumpti, Shimla, Himachal Pradesh 171009, India. By commissioning work from us you accept them.

Where we have signed a separate proposal, statement of work or master services agreement with you, that document governs. These terms fill any gaps it leaves.

2. Quotes and engagement

  • Quotes are based on the brief you give us and remain valid for 30 days.
  • Work begins once you confirm the scope in writing and, where applicable, the deposit has cleared.
  • Project work is scoped and quoted once. Monthly retainers are sized to a volume band rather than a fixed asset count.
  • Requests that fall outside the agreed scope are quoted separately before we start them. We will not proceed with billable additional work without your written approval.

3. What we are responsible for

  • Producing the deliverables described in the agreed scope, to the specifications recorded there.
  • Running an internal quality check on every deliverable before it reaches you.
  • Meeting the delivery dates agreed in the production plan, provided we receive material and feedback on the dates that plan assumes.
  • Keeping your material and the existence of a white-label relationship confidential.

4. What you are responsible for

  • Supplying footage, assets, brand guidelines and information in a usable form, by the dates in the production plan.
  • Confirming that you hold the rights to everything you send us — footage, music, fonts, logos, images and any likeness or voice appearing in it.
  • Consolidating feedback into a single response per review round.
  • Naming one person with authority to approve work.

Delays in supplying material or feedback move the delivery date by at least the length of the delay. We will tell you when that happens rather than absorbing it silently.

5. Revisions

Unless the scope says otherwise, each deliverable includes two structured revision rounds. A round means one consolidated set of feedback, not a sequence of individual requests. Additional rounds, or changes that alter the agreed direction after it has been approved, are quoted before we carry them out.

6. Intellectual property

  • Your material stays yours. Footage, brand assets and anything else you supply remains your property throughout.
  • Final deliverables transfer to you on full payment. On receipt of the final invoice you own the completed work outright, and we hand over editable source files on request.
  • Before full payment, we retain ownership of the work and any licence to use it is suspended.
  • Our tools stay ours. Templates, workflows, methods and internal presets we developed independently remain our property; you receive a perpetual licence to use them within the delivered work.
  • Third-party assets — stock footage, music, fonts — are licensed to you on the terms of the original licence, which we will identify at handover.

7. Showing the work

We will not publish, present or list your work as a portfolio piece without your written permission. Work produced under a white-label arrangement is never shown as ours.

8. Confidentiality

Each side agrees to keep the other’s confidential information private, to use it only for the purposes of the engagement, and to continue doing so after the engagement ends. We will sign your NDA on request.

9. Payment

  • Project work: typically 50% on confirmation and 50% on delivery, unless the proposal states otherwise.
  • Monthly retainers: invoiced in advance at the start of each cycle.
  • Invoices are payable within 15 days of issue.
  • Prices exclude applicable taxes, which are added at the prevailing rate.
  • We may pause work on overdue accounts after giving you written notice.

10. Cancellation and pause

Either side may end a project in writing. You pay for work completed and work in progress up to that point; anything paid beyond that is handled under our Refund Policy. Monthly retainers run on a rolling basis after an initial three-month period and can then be ended with 30 days’ written notice. Retainer capacity is reserved for you and is not refundable or carried forward where it goes unused, unless we have agreed otherwise.

11. Liability

We will carry out our work with reasonable skill and care. To the extent permitted by law, our total liability arising from an engagement is limited to the fees you have paid us for the work in question, and we are not liable for indirect or consequential loss, loss of profit, loss of business, or loss of data. Nothing here limits liability for death, personal injury, or fraud.

You indemnify us against claims arising from material you supplied to us where you did not hold the rights to it.

12. Circumstances outside our control

Neither side is liable for delays caused by events beyond reasonable control. Where such an event materially affects delivery, we will agree a revised schedule with you.

13. Website use

The content of this site is provided for information. Its text, design, code and imagery belong to Zasya Media and may not be reproduced without permission. We do not warrant that the site will be uninterrupted or error-free.

14. Governing law

These terms are governed by the laws of India, and the courts of Shimla, Himachal Pradesh have exclusive jurisdiction over any dispute. Before starting proceedings, both sides agree to attempt to resolve the matter in good faith.

15. Changes

We may update these terms. The version in force is the one published here on the date your engagement is confirmed.
